  of The Stelle Group In response to your request
  of June 28, 1975, to incorporate the proposed amendments allegedly passed on
  June 27, 1975, please be reminded
  that The Stelle Group is not bound by any vote or action taken at the meeting
  called for June 27 at the Cullom Community Center due to the fact that said
  meeting was not held at the registered office of the corporation as required by
  Chapter 32, Illinois Revised Statutes, Section 163a 12: “Meetings of members may be
  held at such place, either within or without this State, as may be provided
  in the by-laws. In the absence of any such provision, all meetings shall be
  held at the registered office of the corporation in this State.” The legality of this
  meeting was objected to for this reason by 34 members and 18 associates who
  refused to participate in its deliberations from the outset. The Stelle Group
  is not bound by the opinion of your attorney, Mr. Stodd. Further, we find your
  request for cooperation quite incongruous with your actions especially those
  taken at the By-Laws Amendment Committee meeting of June 22, 1975, in
  refusing the request of the Committee to have a week to review your proposal.
  Please be reminded that your actions to proceed independently of the
  committee was censured by vote of that committee, as recorded in a roll call
  vote on this motion: “It
  was moved by Jim Howery and seconded that a roll call vote be taken to
  approve or disapprove of the action of the 4 of the 22 to pull out of the
  negotiations and proceed on their own independently of the committee and to
  bring their proposal to the membership outside of the committee action. Yes, approve: -0- No, disapprove: 7         (James
