   May 14, 1975 To the Board of Trustees of
  The Stelle Group, As proposers
  of the amendment to The Stelle Group By-Laws to be voted on at the May 24,
  1975 Special Meeting, we wish to state our awareness of two amendment
  procedures: the first as outlined in Illinois state law (Illinois Revised
  Statutes, 1973, Paragraph 163(a) 12 , Sections 12 and 13) and in accord with
  Article VIII-Amendments of The Stelle Group By-Laws; and the second based on
  Illinois state law and outlined in Article II., Section 6 of The Stelle Group By-Laws, also in accord with Article
  VIII-Amendments of The Stelle Group By-Laws. Inasmuch as Article II., Section
  6 is not restrictive as to
  procedure (“Any member of the organization may propose changes in the
  by-laws, and the board of trustees must grant hearing to all such
  proposals...”), we have opted to follow the first amendment procedure. Legal
  counsel assures us that we are well within our rights in this matter. We recognize that the
  trustees of The Stelle Group have a duty to hear all such proposals and to
  consider their merits. It is out of courtesy to you in the performance of
  this duty that we wish at this time to express our willingness to appear at a
  private meeting with the trustees to present our proposed amendment, provided
  only that the time be set so that the private meeting shall conclude prior to
  12 noon Saturday, May 17, 1975; this will insure its independence of any
  conclusions which might be reached at the meeting to be held in Factory I at
  8 pm on the same day. This private meeting shall be simply a preview and
  shall not be construed as in lieu or in place of the Special Meeting on May
  24, 1975. A written request for such
  a private meeting by the trustees of The Stelle Group may be delivered in
  person to any one of the individuals whose signatures appear below. We intend
  at all times to legally proceed under the terms of Illinois state law and The
  Stelle Group By-Laws. Sincerely, David
