A few minutes before 8:00 P.M. this evening I came to attend the annual shareholders meeting Stelle Industries, Inc. for which I received notice to attend per the April 18, 1975 letter from the corporation secretary, Gail Kieninger, sent to shareholders of record as of that date. I was told by the keepers at the door outside the factory building, Mssrs. Tom Hood and Malcolm Carnahan, that I was not entitled to enter the building or attend the meeting in the board room since my name did not appear on their list of current stockholders. When I presented the notice I had received from the secretary, Mr. Hood took it and asked me to wait outside. He soon returned and announced that the notice sent to me was in error and that Gail Kieninger had been named the Voting Trustee of the Stelle Industries, Inc. Voting Trust in my stead. I asked that my notice to attend be returned to me, and he told me I would have to apply to you for its return and that the matter was out of his hands. As a consequence, I was deprived of casting my vote as Voting Trustee of Stelle Industries, Inc. Voting Trust.

 

This is a matter of serious import, and I request immediate and full explanation, particulars, and proof of the alleged transfer of the Voting Trustee. I have received no notice of such action; and since I am willing and able to continue to discharge my responsibilities as Voting Trustee, and I have not signed over any of the 3,619 shares of stock held in my name, and since the Voting Trust cannot be removed except by 100% vote of all the beneficiaries of the Trust, I question the legality of such action. I herewith protest the alleged and arbitrary naming of a new Voting Trustee in my stead, and I claim today’s annual election of new director and any other voting which may have taken place at the shareholders meeting to be null and void, and that any action taken henceforth by the new board constitutes a nullity.

 

Please return the copy of the secretary’s notice to me to attend tonight’s meeting and Miss Engel’s proxy with your reply to this letter.
