Richard G. Kieninger

Stelle, Illinois 60919

Dear Richard:

During the course of discussion which was held after the regular monthly meeting of The Stelle Group participants on March 15, 1975, you publicly asked for my resignation as a Trustee of The Stelle Group.

At that time one Stelle Group participant stated that the membership had a right to vote on your request, and I tried to explain that your request for my resignation as a Trustee while simultaneously stipulating that I remain in my other present capacities was not possible without violating other regulations which you had set up (i.e., all Directors of Departments in The Stelle Group must be Trustees and there should be a Trustee(s) on the Board of Directors of Stelle Industries, Inc.) which I am personally in full agreement with.

I therefore wish to apprise you that the following positions will need to be filled:

1.        President of The Stelle Group

2.        President of Stelle Industries, Inc. (eventual Director of a Stelle Group Department)

3.        Director of Stelle Industries, Inc.

4.        Director of the Department of Building

5.        Trustee of The Stelle Group

6.        Chairman of Construction meetings

If you are in agreement, I will continue to function as:

1.        City Planner

2.        Member of City Planning Board

3.        Member of the Ford County Regional Planning Commission

I am willing to work for the Stelle Construction Company, anywhere else in Stelle full time, or to work outside of Stelle and donate 26 hours where they are needed.

As I have offered my resignation as President and Trustee (verbal and written) to you when you have stated I was not carrying out my duties and responsibilities as I should, and you have accepted my offer verbally, I request only that you officially request my resignation in the following legal manner:

Bring charges (regarding my abuse of authority and/or neglect of responsibility) for my removal as a Trustee before the voting membership in accordance with Article III, Section 7, of The Stelle Group By-Laws.

Sincerely,

James E. Howery
